These Terms of Use (“Terms”) are an agreement between you and Zuy Inc. (“Zuy,” “we,” “us” or “our”). They govern your use of the Zuy website and any free custom solution we provide. By using our website or accepting a free custom solution, you agree to these Terms. If you are using them on behalf of a business, you confirm you have authority to accept them for that business.

Our website

You may use our website for lawful purposes only. Please don’t interfere with its operation, try to gain unauthorized access, or copy its content for commercial use without our permission.

The free custom solution

• Availability. The offer is available to a limited number of businesses for a limited time. We may decline or end any request at our discretion.
• Evaluation only. The solution is provided so you can evaluate our work. It is not a commitment to provide ongoing service, support or access. We may end access to it at any time, and access will end after the evaluation period unless we agree otherwise in writing.
• Provided as is. The solution is provided “as is,” without warranties of any kind. Please don’t rely on it as your only system for critical operations during the evaluation.
• Your data. Your business data remains yours. We use it only to build and run your solution. When access ends, we will return or delete your data on request.
• Our work. The software, designs and methods we create remain the property of Zuy unless we agree otherwise in a signed written agreement.
• Next steps. If you’d like to keep working with us, ongoing services will be covered by a separate written agreement.

Intellectual property

The Zuy name, logos, website content and software are owned by Zuy or its licensors and are protected by law. These Terms don’t grant you any rights to them except as needed to use our website and evaluate a free custom solution.

Results and examples

Results described on our website, including savings, time saved and investment returns, reflect our own businesses and experience. They are not guarantees of future results, and your results may differ. Nothing on our website is investment, legal, tax or financial advice. Trading results shown relate to proprietary trading of our own capital and are not an offer of any investment product.

Third-party services

Our website and solutions may link to or work with third-party services. We are not responsible for third-party services, and your use of them is subject to their own terms.

Disclaimer of warranties

Our website and any free custom solution are provided “as is” and “as available.” To the fullest extent allowed by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

Limitation of liability

To the fullest extent allowed by law, Zuy will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of our website or any free custom solution. Because the free custom solution is provided at no cost, our total liability related to it will not exceed one hundred US dollars ($100).

Governing law

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict of law rules. Any dispute will be resolved in the state or federal courts located in Minnesota, and you consent to their jurisdiction.

Changes to these Terms

We may update these Terms from time to time. When we do, we will change the “Last updated” date above. Continued use of our website after changes means you accept the updated Terms.
